These Terms of Use, along with our Online Privacy Policy (together, the "Terms"), set the rules for your use of this website and of any affiliated websites, mobile applications, online services, or communications that link to these Terms (the "Sites"), including all electronic content, features, functionality, and applications made available through them (the "Materials").
Do not use the Sites or the patient portal for medical or mental health emergencies. The Sites are not monitored for emergencies and are not a substitute for emergency or crisis services, and messages sent through the Sites or portal may not be reviewed immediately.
The Sites are operated by Transitions Counseling and Consulting, LLC ("Transitions," "we," "us," or "our") to share information about our practice and the services we offer. From time to time the Sites may also include general health information prepared by our staff or by outside contributors, as well as links to outside websites we think may interest you.
Review these Terms carefully before using the Sites. Your use of the Sites confirms that you have read and understood the Terms (including the Online Privacy Policy) and that you accept them. Users may view the public informational portions of this website. Account creation, portal enrollment, or any contractual transaction requires legal capacity or the involvement of a parent or legal guardian, and a minor's visit alone does not create an enforceable contract. If you do not accept the Terms, or if you violate them, you are not authorized to use the Sites.
PLEASE NOTE: THESE TERMS REQUIRE THAT DISPUTES BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION. THEY WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. SECTIONS 10 THROUGH 12 EXPLAIN THESE PROVISIONS AND THEIR EFFECT ON YOUR LEGAL RIGHTS.
We may revise these Terms at any time in our sole discretion. Continued use of the Sites after a revision is posted constitutes your acceptance of it, so please revisit this page periodically.
1. Informational Purposes Only; No Professional Advice
Everything on the Sites is offered FOR GENERAL INFORMATION ONLY. Nothing on the Sites constitutes medical or mental health advice for your particular situation, and using the Sites does not create a provider-patient relationship between you and us. If you need treatment or have questions about your own health, consult a qualified health care professional.
You use any information found on the Sites at your own risk, and you agree we bear no responsibility for claims, losses, or damages arising from that use. Although we work to keep the Sites accurate, we make no promises, express or implied, about the accuracy, currency, or completeness of any content, and we disclaim all other warranties, including implied warranties of merchantability and fitness for a particular purpose. We likewise do not promise uninterrupted, error-free, or virus-free access. We may suspend or end your access to the Sites, or take down any content, at any time and for any reason without advance notice. Removed content may remain in our records, for example to satisfy legal obligations, but may not be recoverable absent a court order or comparable legal process.
2. Prohibited Conduct
When using the Sites, you must not:
- (a) reverse engineer, decompile, disassemble, or modify the Sites, render them into human-readable form, or build derivative works from any part of them;
- (b) circumvent or disable any security, licensing, or access-control feature;
- (c) upload viruses or any code designed to disrupt or damage the Sites, tamper with Materials, or harvest information about the Sites or their users;
- (d) strip or alter copyright notices or other proprietary markings;
- (e) rent, lease, lend, resell, sublicense, distribute, or otherwise transfer the Materials or your access to anyone else;
- (f) use the Sites in violation of any applicable law or regulation, whether federal, state, local, or foreign;
- (g) act fraudulently, maliciously, or negligently in connection with the Sites;
- (h) post content that is violent, defamatory, obscene, sexually explicit, discriminatory, unlawful, infringing, or hateful, or that is intended to stalk, bully, harass, threaten, impersonate, or intimidate any person or entity;
- (i) send unsolicited or harassing communications through the Sites, including spam, junk mail, or promotional material, without our prior written consent;
- (j) access the Sites using bots, scrapers, automated agents, or similar tools, other than general-purpose search engines and AI search services that comply with our robots.txt file, and tools we have authorized.
- (k) attempt to gain unauthorized access to any part of the Sites; or
- (l) scrape, republish, license, or sell Site data for commercial purposes, or to use any portion of the Sites for developing, training, or improving machine learning or artificial intelligence models, or for automated data extraction.
Except as these Terms expressly allow, we and our licensors retain all rights in the Sites and Materials, and we may pursue any available legal remedy, and cooperate with law enforcement, in response to violations.
3. Your Information and Submissions
You are accountable for all activity conducted through your use of the Sites. Information you give us must be accurate, current, and complete to the best of your knowledge, and you agree to keep it updated.
By submitting information or materials through the Sites, you grant us a worldwide, non-exclusive, royalty-free, fully paid, transferable, and sublicensable license to use and display them as reasonably needed to operate the Sites for you, consistent with our Online Privacy Policy.
If you send us feedback, suggestions, or ideas about the Sites ("Feedback"), we may use them for any purpose, including building and marketing new services, without restriction, compensation, or liability to you, and you waive any intellectual property rights in that Feedback.
4. Privacy; Text Messaging
Personal information we collect through the Sites is handled as described in our Online Privacy Policy. The Online Privacy Policy does NOT cover protected health information ("PHI") as defined by the Health Insurance Portability and Accountability Act and its regulations ("HIPAA"). PHI, such as patient records and billing details, is governed instead by our Notice of Privacy Practices, which is provided separately. Contact us with any questions about our Notice of Privacy Practices.
Submitting information through a public website form does not by itself create a provider-patient relationship. Do not send urgent or highly sensitive clinical information through general web forms.
We may invite you to enroll in an SMS text-messaging program to help you manage your care and our services, for example appointment updates, account notices, one-time passcodes, billing alerts, and care management messages.
5. Advertising
The Sites neither display third-party advertisements nor accept funding from third-party advertisers. As explained in our Online Privacy Policy, we may engage third-party analytics and advertising vendors (such as Google Analytics) that use cookies and similar technologies to gather information about how you use the Sites; that information may be used to analyze activity and improve our services. See our Online Privacy Policy for details.
A patient may give us permission to share identifiable patient stories, which can include descriptions of actual results. Because we tailor care to each patient's individual needs, experiences and outcomes will differ from person to person.
6. Intellectual Property; Your Limited License
We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Sites for lawful purposes consistent with these Terms. Unless stated otherwise, you may print or download content from the Sites solely for personal, non-commercial use.
The Sites contain Materials we own or license, including our name, logo, text, images, audiovisual works, icons, and scripts. Apart from the limited license above, Materials may not be copied, reproduced, republished, posted, distributed, displayed, downloaded, modified, sold, licensed, transmitted, or used to create derivative works in any form without advance written permission from us or the applicable owner. Unauthorized use may violate copyright, trademark, privacy, publicity, or other laws. Trademarks and service marks appearing on the Sites belong to us or our licensors, and nothing on the Sites grants, by implication, estoppel, or otherwise, any license or right to use them without our written consent.
7. Copyright Infringement Claims
We respect others' intellectual property and do not permit users to submit, upload, or transmit material that infringes anyone's intellectual property rights or violates these Terms. To report copyright infringement, follow the process below; for any other issue, use the contact information at the end of these Terms. The rest of this section applies only to notifications of claimed copyright infringement.
We have a designated agent registered with the United States Copyright Office under the Digital Millennium Copyright Act, 17 U.S.C. § 512 (the "DMCA"). Direct copyright infringement notices concerning the Sites to:
Attn: Compliance Officer
Transitions Counseling and Consulting
PO Box 1999, Sun City, Arizona 85372-1999
Phone: (602) 363-0629
Email: DMCA-agent@transitionscounselingandconsult.com
Your written notice must contain everything the DMCA requires: a physical or electronic signature of the copyright owner or an authorized representative; identification of the copyrighted work claimed to be infringed; identification of the allegedly infringing material with enough detail for us to locate it; your address, telephone number, and email; a statement of your good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and a statement, under penalty of perjury, that the notice is accurate and that you are authorized to act for the copyright owner.
8. Links to Other Sites
The Sites may link to third-party websites or services, such as social media platforms. You access linked sites at your own risk; we are not responsible for the accuracy or reliability of any information, opinions, advice, or statements they contain. Links are provided solely for convenience and do not signify our endorsement, recommendation, or approval. We do not investigate, verify, or monitor linked sites. If you visit or transact with a linked site, protecting yourself is your responsibility. Third-party sites operate under their own terms and privacy policies, which we encourage you to read.
9. Linking to Our Sites
You may link to the Sites if you do so fairly and lawfully, without harming or exploiting our reputation, and without implying any association with, or approval or endorsement by, us absent our express written consent. Where the Sites offer social media features, for example tools that let you link to our content from your own or third-party sites, share content or links through the Sites, or display limited portions of our content elsewhere, you may use those features only as we provide them. You may not link from a website you do not own; display the Sites or any portion of them on another site (including by framing, deep linking, in-line linking, or scraping); or take any action involving the Sites that conflicts with these Terms. We may disable links or social media features at any time, without notice, in our sole discretion.
10. Disclaimer of Warranties; Limitation of Liability
YOU USE THE SITES AND MATERIALS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT THE LAW ALLOWS, THE SITES AND ALL MATERIALS ARE PROVIDED "AS IS," WITH NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITES WILL OPERATE WITHOUT INTERRUPTION OR ERROR, THAT DEFECTS WILL BE FIXED, OR THAT THE SITES OR OUR SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. EXCEPT AS OTHERWISE PROVIDED IN THESE TERMS, AND TO THE MAXIMUM EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR ANY DIRECT, INDIRECT, ACTUAL, SPECIAL, PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM THE SITES. BECAUSE SOME JURISDICTIONS DO NOT PERMIT CERTAIN LIABILITY EXCLUSIONS OR LIMITATIONS, IN THOSE JURISDICTIONS OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT THE LAW PERMITS.
BY USING THE SITES, YOU UNDERSTAND YOU MAY BE GIVING UP RIGHTS REGARDING CLAIMS THAT ARE PRESENTLY UNKNOWN OR UNSUSPECTED. YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND EXPRESSLY WAIVE THE PROTECTIONS OF ANY STATUTE PROVIDING THAT A GENERAL RELEASE DOES NOT REACH CLAIMS A CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF THE RELEASE, WHICH, IF KNOWN, WOULD HAVE MATERIALLY AFFECTED THE SETTLEMENT.
These Terms are intended to reach only as far as applicable law permits. We recognize that certain laws grant consumers rights and remedies that cannot be waived. Nothing in these Terms limits or disclaims any professional duty we owe under an established provider-patient relationship, our liability for gross negligence or willful misconduct, our obligations under applicable privacy laws, or any right that cannot lawfully be waived. Except for those matters, you waive all damages other than actual out-of-pocket losses, including by way of example nominal, liquidated, statutory, consequential, and presumed damages, and awards of costs and attorneys' fees. We reserve every right, defense, and limitation available under applicable law.
11. Indemnification
You are responsible for damages resulting from your violation of these Terms. You agree to indemnify and hold harmless Transitions and its owners, affiliates, officers, directors, employees, agents, and service providers from any third-party claim or demand, including reasonable attorneys' fees, arising from (i) your breach of these Terms, (ii) your unlawful conduct connected to the Sites, or (iii) information you affirmatively supply through the Sites.
12. Governing Law; Arbitration; Class Action Waiver
THESE TERMS, AND ANY DISPUTE CONCERNING THE SITES, ARE GOVERNED BY ARIZONA LAW, WITHOUT REGARD TO CONFLICT-OF-LAW PRINCIPLES. FOR ANY DISPUTE NOT SUBJECT TO ARBITRATION UNDER THIS SECTION, YOU CONSENT TO THE EXCLUSIVE JURISDICTION OF THE STATE AND FEDERAL COURTS SITTING IN MARICOPA COUNTY, ARIZONA, AND YOU WAIVE ANY RIGHT TO REMOVAL OR TRANSFER, WHETHER FOR FORUM NON CONVENIENS OR ANY OTHER REASON.
You can always reach us through the contact information at the end of these Terms with concerns about the Sites. Before either you or we (each a "Party," together the "Parties") files any lawsuit or arbitration, the Parties must first attempt in good faith to resolve the dispute through direct consultation and negotiation, with the Parties themselves participating and not only their attorneys. This informal process is a mandatory precondition to any formal proceeding initiated by you.
Any controversy or claim arising out of, or relating to, this Agreement or the breach thereof will be addressed by mediation and then, if necessary, by binding arbitration. If the Parties cannot agree to the selection of a single Mediator, each will select a proposed Mediator, and the proposed Mediators will select a third, impartial mediator. This third Mediator shall become the Mediator for the dispute or disputes. The Mediator will then conduct a Mediation. If the Mediation is unsuccessful, then the Mediator will become the Arbiter, who will issue a binding decision. The Parties agree that the decision can then be entered by a Court as a final judgment, and the Parties expressly waive all right to trial by jury for any and all disputes which might arise in relation to this Agreement or the professional relationship between them.
Arbitration will be seated in Maricopa County, Arizona, and, at the election of the party seeking relief, may proceed online, by telephone, or on written submissions alone. The arbitrator may not issue injunctions. The arbitrator has exclusive authority to determine the scope of arbitrable issues, and any challenge to arbitrability, or to the validity of this arbitration provision or any part of it, must be decided solely by the arbitrator. Nothing in this Section prevents us from seeking immediate injunctive relief in a court of competent jurisdiction, and doing so is neither inconsistent with this agreement to arbitrate nor a waiver of it. The Parties agree to keep confidential all arbitration awards, all confidential information and materials created for the arbitration, and all documents produced by the other Party that are not publicly available, except where disclosure is legally required, needed to protect or pursue a legal right, or necessary to enforce or challenge an award in court.
EXCEPT FOR CONSOLIDATED ARBITRATION AS DESCRIBED BELOW, AND TO THE FULLEST EXTENT THE LAW ALLOWS, EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. Absent mutual agreement (or Consolidated Arbitration as described below), no arbitrator or judge may combine more than one person's claims or preside over any representative or class proceeding.
If five (5) or more individuals initiate, or seek to initiate, arbitration against us in a coordinated or related fashion (for example, through coordination among claimants or their counsel on similar claims), we may, at our option, consolidate those arbitrations ("Consolidated Arbitration") before one arbitrator agreed upon by all Parties, terminating any pending individual filings or proceedings, with the arbitration otherwise conducted under the terms above.
13. United States Operations
The Sites are controlled and operated from within the United States. We make no representation that the Sites or Materials are appropriate or available elsewhere, and accessing the Sites from any jurisdiction where doing so is illegal is prohibited. If you access the Sites from another jurisdiction, you do so at your own risk and are responsible for complying with the laws that apply to you.
14. Entire Agreement; Severability
You confirm that you have read, understood, and agreed to these Terms, including the Online Privacy Policy. Together they are the complete and exclusive agreement between you and us regarding their subject matter, superseding all prior or contemporaneous proposals, agreements, and communications, whether oral or written. If any provision is held unenforceable, the rest of the Terms remain fully valid and enforceable, and the unenforceable provision will be replaced by a valid one that most nearly reflects the original intent. These Terms and your use of the Sites do not create any joint venture, partnership, employment, or agency relationship between you and us.
15. Contact Information
If you have any questions, concerns, or comments about our Sites, please contact us at help@transitionscounselingandconsult.com or by phone at (602) 363-0629.
